Overview

Under the Companies Law, Cap. 113 of Cyprus, several registers and reports are mandatory for companies to maintain and file. Here are the main ones and the relevant sections:

Generate Reports on Fidura

Fidura allows you to generate official corporate registers directly from your stored company data. These registers are automatically compiled from the company's records, ensuring accuracy and compliance.

How to Generate

  1. Go to the list of entities and select the company you want to generate a register for
  2. Inside the company, click on the Documents tab
  3. From the Documents area, choose Reports
  4. A list of available corporate registers and reports will appear

Tip

Fidura supports generating other statutory registers (e.g., Directors, Secretaries, Registered Office, etc.). Select the appropriate report type depending on the register you need.

Available Reports

Register of Members

  • Records every shareholder’s name, address, shareholdings, and the date they became a member.
  • Must be stored at the registered office or another officially notified location.
  • Available for inspection by members and, in some cases, the public.
  • Ensures transparency of company ownership.

Register of Directors and Secretaries

  • Lists all directors and secretaries along with their personal details (name, address, nationality, occupation).
  • Updates whenever appointments, resignations, or changes occur.
  • Ensures accurate tracking of the company’s management team.

Register of Allotments

  • Records every share allotment, including how many shares were issued, to whom, and what was paid for them.
  • Helps track the expansion of share capital and investor entries into the company.
  • Keeps a clear log of all capital issuances.

Share Certificates

  • Acts as official proof of share ownership.
  • Tracks the issuance, cancellation, and replacement of certificates.
  • Ensures every shareholder has valid documentation linked to their holdings.

Register of Registered Names

  • Tracks all official names the company has used throughout its history.
  • Records any change of name and keeps a chronological log.
  • Ensures legal clarity about the company’s identity over time.

Register of Registered Office

  • Records the company’s official address where legal documents can be served.
  • Maintains a history of all past and present registered office locations.
  • Ensures the company can always be contacted for legal and regulatory matters.

Corporate Register

The Corporate Register consolidates all statutory registers into a single view.

It typically includes:

  • Register of Members
  • Register of Directors and Secretaries
  • Register of Allotments
  • Register of Share Certificates
  • Register of Registered Names
  • Register of Registered Office
