Change Nominal Price

Learn how to change the nominal price of shares and understand its effects on share capital

Overview

The Change Nominal Price feature allows you to increase or decrease the par (nominal) value of shares without altering the number of shares issued. This changes the total share capital while maintaining the same shareholding proportions and number of shares.

Changing Nominal Price vs. Share Split

Changing nominal price is different from a Share Split:

  • Change Nominal Price: Changes the nominal value per share while keeping the number of shares the same
  • Share Split: Changes the number of shares while keeping the total share capital the same

Tip

Use Change Nominal Price when you want to adjust the par value without changing share quantities. Use Share Split when you want to change the number of shares while maintaining total capital.

Performing a Change of Nominal Price

Step 1: Navigate to Capital Actions

  1. Navigate to the Share Class you wish to modify
  2. Go to Capital Actions
  3. Select Increase/Decrease Nominal Price

Step 2: Enter New Nominal Price

Enter the new nominal value/price for the shares.

For Reduction:

  • The new nominal price must be lower than the current nominal price
  • This will reduce the total share capital

For Increase:

  • The new nominal price must be higher than the current nominal price
  • This will increase the total share capital

Important

The platform validates that the new nominal price is different from the current price. For reductions, it must be lower; for increases, it must be higher.

Step 3: Review Certificate Re-Issuance

The platform will automatically re-issue all existing active certificates of the share class. Review the preview to see how certificates will be updated.

Tip

Certificate re-issuance is mandatory when changing nominal price. All active certificates are automatically updated to reflect the new nominal value.

Step 4: Review and Confirm

  1. Review the new nominal price carefully
  2. Verify the impact on share capital (shown in the preview)
  3. Check that all certificates will be re-issued correctly
  4. Confirm the effective date
  5. Click Save to complete the change

The nominal price change has been recorded. All certificates have been re-issued, and the share capital has been updated accordingly.

Understanding Change of Nominal Price

A change of nominal price alters the par value of shares without changing the number of shares issued. This directly affects the total share capital while maintaining shareholding proportions.

Reduction of Nominal Price

When you reduce the nominal price:

  • Number of Shares Remains the Same – The quantity of issued shares stays unchanged
  • Nominal Value Decreases – Each share has a lower par value
  • Share Capital Decreases – Total issued share capital is reduced by: (old nominal price - new nominal price) × number of issued shares
  • Share Premium Remains the Same – The share premium account is not affected
  • Ownership Percentages Unchanged – Shareholders maintain the same relative ownership

Increase of Nominal Price

When you increase the nominal price:

  • Number of Shares Remains the Same – The quantity of issued shares stays unchanged
  • Nominal Value Increases – Each share has a higher par value
  • Share Capital Increases – Total issued share capital is increased by: (new nominal price - old nominal price) × number of issued shares
  • Share Premium Remains the Same – The share premium account is not affected
  • Ownership Percentages Unchanged – Shareholders maintain the same relative ownership

Certificate Re-Issuance

When you change the nominal price, the platform automatically re-issues all existing active certificates for the share class. This ensures:

  • All certificates reflect the new nominal value
  • Historical records are maintained
  • Certificate numbering and tracking remain consistent

What Happens Next

After completing a change of nominal price:

  • The share class shows the new nominal value per share
  • All active certificates are automatically re-issued with the new nominal value
  • Share capital is updated to reflect the new total (reduced or increased)
