Understanding Your Cap Table

Your cap table provides a complete view of your company's equity structure, allowing you to analyze ownership both by stakeholder and by share class. These complementary perspectives help you track capital contributions, understand distribution patterns, and plan future funding rounds or equity actions.

Before You Begin

To use the cap table effectively, ensure you have:

  • Share classes created with proper nominal values and authorisation
  • Shares issued to stakeholders so data reflects actual ownership
  • Stakeholder relationships configured (e.g., founder, investor, employee)

Tip

The cap table updates in real-time when shares are issued, transferred, or modified.

Cap Table by Shareholder

This view shows ownership distribution per individual or entity stakeholder. It lists all shareholders, their total shareholdings, capital contributions, and ownership percentages.

Key Columns

  • Name: Full name of the stakeholder; click for detailed information and transaction history
  • Relationship: Role in the company (Founder, Investor, Employee, etc.)
  • Quantity: Total shares owned across all share classes
  • Capital Contribution: Legal capital based on nominal value × shares held
  • Percentage: Ownership proportion relative to total issued capital

Cap Table by Share Class

This view breaks down ownership by type of share (e.g., ordinary, preference). It highlights how much capital is tied to each share class and how much authorised capacity remains.

Key Columns

  • Share Class: Name of the share class with links to detailed information
  • Authorized Shares: Maximum shares that can be issued for that class
  • Issued Shares: Number of shares already allocated
  • Nominal Value: Par value per share
  • Percentage: Capital contribution of the class compared to total company capital

Filters and Views

Both cap table views include filters for better analysis:

  • Date Filter: View ownership at any historical point
  • Outstanding vs Diluted: Show only issued shares or include options and convertibles
  • Owner vs Beneficial Owner (Stakeholder view): Toggle between legal holders and beneficial owners

Analyzing and Planning

  • Utilization: Compare issued vs authorised shares to assess room for future issuances
  • Distribution: Understand how capital is spread across classes and stakeholders
  • Capacity Planning: Identify when to increase authorised capital
  • Scenario Analysis: Use diluted view to plan funding rounds or employee option pools

Downloading and Sharing

  • Export data in Excel or PDF for investor updates, board reports, or compliance filings
  • Exports respect filters and include share class breakdowns for clarity

Special Cases

  • Trustee Arrangements: Trustee appears as legal owner; beneficial owner shown when toggled
  • Treasury Shares / Subsidiaries: Displayed as separate entries for compliance purposes
